1. Acceptance of Terms

By accessing, registering for, or using Easy Repo ("the Service"), you ("User," "Agency," or "you") accept and agree to be bound by these Terms of Use ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

Easy Repo is a cloud-based Software-as-a-Service (SaaS) platform specifically designed for vehicle repossession agencies and their authorized agents. Our Service provides:

• Vehicle location tracking and management systems
• Assignment and dispatch management for repossession agents
• Client and debtor information management
• Case management and workflow automation
• Document storage and management
• Reporting, analytics, and compliance tools
• Mobile applications for field agents
• Integration with third-party services and databases
• Communication and notification systems
• Billing and invoicing management

3. Eligibility and User Accounts

To use Easy Repo, you must:

• Be a licensed repossession agency or authorized agent thereof
• Be at least 18 years of age
• Provide accurate, complete, and current registration information
• Maintain and update your account information
• Maintain the confidentiality of your login credentials
• Comply with all applicable federal, state, and local laws regarding vehicle repossession

You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized access or security breach.

4. Subscription and Payment Terms

Easy Repo operates on a subscription-based model:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms
• We reserve the right to modify pricing with 30 days advance notice
• Failure to pay fees may result in service suspension or termination
• You authorize us to charge your designated payment method for all applicable fees
• All payments must be made in the currency specified in your subscription plan

5. Acceptable Use and Compliance

You agree to use Easy Repo only for lawful repossession activities and in compliance with:

• All applicable federal, state, and local repossession laws and regulations
• Fair Debt Collection Practices Act (FDCPA) and similar state laws
• Uniform Commercial Code (UCC) provisions related to secured transactions
• Consumer protection laws and privacy regulations
• All licensing requirements for repossession agencies in your jurisdiction

6. Prohibited Uses

You expressly agree NOT to use Easy Repo for:

• Any unlawful or fraudulent activities
• Harassment, threats, or intimidation of debtors or third parties
• Violation of consumer privacy rights or data protection laws
• Unauthorized access to vehicles or private property
• Sharing login credentials with unauthorized personnel
• Attempting to circumvent or disable security features
• Using the Service to compete with or reverse engineer our platform
• Transmitting malware, viruses, or harmful code
• Violating any third-party rights or terms of service
• Any activities that could damage our reputation or business interests

7. Data Protection and Privacy

Easy Repo handles sensitive information including personal data, vehicle information, and financial records:

• We implement industry-standard security measures to protect your data
• You retain ownership of all data you input into the system
• We will not access your data except as necessary to provide services or comply with law
• You are responsible for ensuring you have proper authorization to collect and process data
• Our detailed Privacy Policy governs our data handling practices
• You must comply with applicable data protection laws (GDPR, CCPA, etc.)

8. Data Backup and Recovery

While we maintain regular backups of system data:

• We recommend you maintain your own backup copies of critical data
• We are not liable for data loss due to user error or system failures
• Data recovery services may be available for an additional fee
• We retain data for a reasonable period after account termination

9. Service Availability and Support

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service:

• Scheduled maintenance will be communicated in advance when possible
• Emergency maintenance may occur without prior notice
• Technical support is available during business hours
• Service level agreements may vary by subscription plan

10. Intellectual Property Rights

Easy Repo and all related intellectual property remain our exclusive property:

• You receive a limited license to use the Service during your subscription
• You may not copy, modify, or distribute our software or content
• Any feedback or suggestions you provide may be used by us without obligation
• You retain rights to your own data and content uploaded to the platform

11. Third-Party Integrations

Easy Repo may integrate with third-party services and databases:

• We are not responsible for the availability or accuracy of third-party services
• You may need separate agreements with third-party providers
• Additional fees may apply for certain integrations
• We may discontinue integrations with reasonable notice

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Easy Repo shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for business interruption, lost profits, or data loss
• We do not warrant that the Service will meet your specific requirements
• Some jurisdictions do not allow limitation of liability, so these limits may not apply to you

13. Indemnification

You agree to indemnify and hold harmless Easy Repo from claims arising from:

• Your use of the Service in violation of these Terms
• Your violation of any law or third-party rights
• Your repossession activities conducted using our platform
• Any data or content you submit to the Service
• Claims by debtors or third parties related to your repossession activities

14. Termination

Either party may terminate this agreement:

• You may cancel your subscription at any time with 30 days notice
• We may terminate immediately for violation of these Terms
• We may terminate with 30 days notice for convenience
• Upon termination, your access will cease and data may be deleted
• You remain liable for all fees incurred prior to termination
• Provisions regarding liability, indemnification, and confidentiality survive termination

15. Confidentiality

Both parties acknowledge that confidential information may be exchanged:

• Each party agrees to protect the other's confidential information
• Confidential information may only be used to fulfill obligations under these Terms
• This obligation survives termination of the agreement
• Exceptions include publicly available information and required legal disclosures

16. Modifications to Service and Terms

We reserve the right to modify the Service and these Terms:

• We will provide reasonable notice of material changes
• Continued use after changes constitutes acceptance
• If you disagree with changes, you may terminate your subscription
• We may add new features or discontinue existing features with notice

17. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Easy Repo is headquartered:

• Any disputes shall be resolved through binding arbitration when possible
• You waive the right to participate in class action lawsuits
• Injunctive relief may be sought in courts of competent jurisdiction
• If any provision is unenforceable, the remaining terms remain in effect

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Easy Repo regarding the Service and supersede all prior agreements and understandings.
